1- Acceptance of Terms of Service

Any user who continues to use this service shall be deemed to have accepted these Terms of Use without any modification or qualification. If you are dissatisfied with the terms, conditions, or practices of operating our service, unless expressly set out in these terms of use, your sole and exclusive remedy is to discontinue using the service. If for any reason, you are unable to meet all the conditions set forth under this agreement, or if you breach any of the Terms of Use contained herein, your permission to use this Site or access any of the services offered under it immediately lapses. Synergy Record Retrieval reserves the right to modify or change these Terms of Use without giving prior notice. We shall, however, post the most current version of the Terms of Use on this Site, and your use of this Site is subject to the most current Terms of Use at such time.

2- Agreement

This agreement describes the terms governing your use of the services provided to you on the Synergy Record Retrieval website, including content, updates, and new releases (collectively, the ‘Services)

If you are an individual and you access or use Synergy on behalf of a company, principal, or other entity, then these terms of service are an agreement between us and you and us and that organization. You represent and warrant that you have the authority to bind that organization to these terms. Your acceptance of these terms will bind such an organization to these terms.

We reserve the right to change this Agreement at any time, and the changes will be effective when posted through the Services, on our website for the Services or when we notify you by other means. We may also change or discontinue the Services, in whole or in part. Your continued use of the Services indicates your agreement to the changes.

3- Access, Restrictions, and Use

The Services are protected by copyright, trade secret, and other intellectual property laws. You are only granted the right to use the Services and only for the purposes described by Synergy Record Retrieval. Synergy reserves all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations and comply with this Agreement, Synergy Record Retrieval grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.

You agree not to use, nor permit any third party to use, the Services or content in a manner that violates any applicable law, regulation, or this Agreement. You agree you will not:

Provide access to or give any part of the Services to any third party.

Reproduce, modify, copy, deconstruct, sell, trade, or resell the Services.

Make the Services available on any file-sharing or application hosting service.

Attempt to interfere with, compromise the system integrity or security of or decipher any transmissions to or from the servers running Synergy Record Retrieval.

Engage, directly or indirectly in the transmission of spam, chain letters, junk mails, or any other type of unsolicited communication.

Synergy Record Retrieval grants the user a non-exclusive, non-transferable limited license to use the Synergy Web Application and related resources in accordance with these Terms of Use. You agree not to infringe our intellectual property and the intellectual property of any third parties software provider and you will comply with the terms of any applicable license agreements.

You agree that any notices, disclosures, agreements, and other communications that we may deliver or communicate to you from time to time comply with the terms of any applicable electronic documents legislation, including the requirement that such documents be in writing, are capable of being retrieved, reviewed, printed and stored for further use by you. 

Synergy Record Retrieval may, without notice or liability, add, discontinue, or revise any aspect, mode, or design of the Services which include but are not limited to the scope of service, time of service, or to the software/hardware required for access to the Services.

The user assumes sole responsibility for and shall ensure that any information, data, documents, or materials used, disclosed, entered into, or created on the Service shall be accurate, reliable, and complete. The user represents and warrants that it has obtained all required consents and complies with all applicable privacy legislation in connection with any use and disclosure of information relating to the use of the Services.

4- Payment

For Services offered on a payment or subscription basis, the following terms apply, unless Synergy Record Retrieval notifies you otherwise in writing. This Agreement also incorporates by reference and includes program ordering and payment terms provided to you on the website for the Services:

For any paid subscription plan, you agree to make payments and we may automatically charge your payment method, for so long as your Synergy Record Retrieval account remains active. Subscription plans may be offered for a set subscription period.

You must provide Synergy with a current, valid, accepted payment method. When you initiate a purchase transaction, you authorize us to provide your payment information to third parties so we can complete the transaction you have selected.

You will pay applicable taxes, if any, relating to any such transaction and are also responsible for any payment-related fees such as wire transfer fees, credit/debit card processing fees.

Payments will be billed to you in USD, and your account will be debited when you subscribe and provide your payment information unless stated otherwise in the program ordering or payment terms on the website for the Services.

You must pay with one of the following:

A valid credit card acceptable to Intuit;

A valid debit card acceptable to Intuit;

Sufficient funds in a checking or savings account to cover an electronic debit of the payment due;

By another payment option, Intuit provides to you in writing.

If your payment and registration information is not accurate, current, and complete and you do not notify us promptly when such information changes, we may suspend or terminate your account and refuse any use of the Services.

If you do not notify us of updates to your payment method (e.g., credit card expiration date), to avoid interruption of your service, we may participate in programs supported by your card provider (e.g., updater services, recurring billing programs, etc.) to try to update your payment information, and you authorize us to continue billing your account with the updated information that we obtain.)

Synergy Record Retrieval will automatically renew your monthly, quarterly, or annual Services at the then-current rates unless the Services are canceled or terminated under this Agreement.

Synergy Record Retrieval reserves all rights to revise the pricing and pricing structure of the services. We also reserve the right to provide and limit free and paid features of the service for a different set of users.

5- Disclaimer of Warranties

Our service is provided on an ‘As Is’ and ‘As Available’ basis. Use of the services, software, and content is entirely at your own risk. To the maximum extent permitted by applicable law, our service is provided without warranties of any kind, whether express or implied.

We and our Directors, Employees, Agents, Suppliers, Partners, and Content Providers do not warrant that – (i)any content on our service is accurate, reliable, or correct (ii) that our service will meet your requirements (iii) that our service will be available at any particular time or location, uninterrupted or secure (iv) that any defects or errors will be corrected or (v) that our service is free of viruses or other harmful components.

6- Limitation of Liability

To the maximum extent permitted by applicable law, the entire liability of Synergy Record Retrieval, its Directors, Employees, Agents, Partners, Supplier, or Content Providers for all claims, proceedings, liabilities, obligations, damages, losses, or costs shall be limited to the amount you paid to us. 

Subject to the applicable law, we assume no liability or responsibility for any (i) Errors, mistakes, or inaccuracies of content (ii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein (iii) any interruption or cessation of transmission to or from our service (iv) any bugs, viruses, trojan horses or the like that may be transmitted to or through our service by any third party (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, e-mailed, transmitted or otherwise made available through our service and/or (vi) your data or the defamatory, offensive or illegal conduct of any third party.

You agree to indemnify and hold Synergy Record Retrieval and its Affiliates and Suppliers harmless from any and all claims, liability, and expenses, including reasonable attorneys’ fees and costs, arising out of your use of the Services or breach of this Agreement (collectively referred to as “Claims”). Synergy Record Retrieval reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by Synergy Record Retrieval in the defense of any Claims.

7- Termination

We may permanently or temporarily terminate or suspend your access to all or any part of services on Synergy Record Retrieval web application at any time, without notice and liability, without cause or for any reason, including if in our sole determination you violate any provision of these terms.

Upon termination, you remain responsible for any outstanding payments to Synergy Record Retrieval.

8- Governing Law

These terms of services shall be governed by and construed in accordance with the laws of United States of America (without regards to its conflict of law principles to the contrary) as Synergy Record Retrieval originates from New York City (USA). Neither you nor Synergy Record Retrieval will commence or prosecute any suit, proceeding, or claim to enforce the provision of this agreement, to recover damages for breach of or default of this agreement, or otherwise arising under or by reason of this agreement, other than in courts located in New York.

9- Force Majeure

We shall not be liable for any failure or delay to perform our obligations resulting from a force majeure event beyond our reasonable control, including without limitation, natural disasters, acts of God, government regulations, war, terrorism, labor disputes, or mechanical, electronic, communication or power failure.

This Agreement is the entire agreement between you and Synergy Record Retrieval and replaces all prior understandings, communications, and agreements, oral or written, regarding its subject matter.

You expressly acknowledge and agree to use the Site, the Services, any third party services and online services, and any content, materials, tools, utilities, software, and functionality related to the Site at your own risk. You agree to determine the suitability of the Site and Services for your intended use and agree to verify all results obtained using the Site and the Services.
